1. Introduction

Welcome to SwiftXchange, a leading digital asset and gift card trading platform. These Terms of Use (“Terms”) govern your access to and use of SwiftXchange’s website, mobile applications, and related services (collectively, the “Platform”). By using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

SwiftXchange operates in compliance with Nigerian laws and regulations, including the Money Laundering (Prohibition) Act 2022 and the Central Bank of Nigeria (CBN) guidelines. These Terms are designed to ensure a safe, transparent, and efficient trading environment for all users.

2. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agreed to these Terms, as well as our Privacy Policy and Anti-Money Laundering (AML) Policy. These Terms constitute a legally binding agreement between you and SwiftXchange.

If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years old.
• Have the legal capacity to enter into a binding contract.
• Reside in a jurisdiction where the use of SwiftXchange’s services is permitted.

SwiftXchange reserves the right to verify your eligibility at any time. Failure to meet these requirements may result in the suspension or termination of your account.

4. Account Registration and Security

a. Account Creation

• To access certain features of the Platform, you must create an account by providing accurate and complete information, including your name, email address, phone number, and government-issued identification.

b. Account Security

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
• Use a strong password and enable multi-factor authentication (MFA).
• Notify SwiftXchange immediately of any unauthorized access or security breach.
• Ensure that your account information is up to date.
• SwiftXchange is not liable for any losses or damages arising from unauthorized access to your account.

5. Prohibited Activities

You agree not to engage in any of the following activities on the Platform:

• Violating any applicable laws or regulations.
• Engaging in money laundering, terrorist financing, or fraud.
• Using the Platform for illegal or unauthorized purposes.
• Impersonating another person or entity.
• Interfering with the operation of the Platform or its security features.
• Uploading or transmitting viruses, malware, or other harmful code.
• Engaging in market manipulation or abusive trading practices.

SwiftXchange reserves the right to investigate and take appropriate action against any user who violates these prohibitions, including account suspension or termination.

6. Digital Asset and Gift Card Trading

a. Trading Services

• SwiftXchange provides a platform for users to buy, sell, and trade digital assets (e.g., cryptocurrencies) and gift cards. All trades are executed based on the prevailing market rates and are subject to availability.

b. Transaction Limits

• SwiftXchange may impose transaction limits based on your account verification level and risk assessment. These limits are designed to comply with regulatory requirements and prevent fraud.

c. Risk Disclosure

• Trading digital assets and gift cards involve significant risks, including price volatility, market manipulation, and regulatory changes. You acknowledge and accept these risks and agree that SwiftXchange is not responsible for any losses you may incur.

7. Charges

a. Transaction Fees

• SwiftXchange charges fees for certain transactions, such as trades, withdrawals, and currency conversions. These fees are displayed on the Platform and are subject to change at SwiftXchange’s discretion.

b. Taxes

• You are responsible for paying any taxes, duties, or levies associated with your use of the Platform. SwiftXchange may be required to report your transactions to Nigerian tax authorities, such as the Federal Inland Revenue Service (FIRS).

8. Intellectual Property

a. Ownership

• All content on the Platform, including text, graphics, logos, and software, is the property of SwiftXchange or its licensors and is protected by intellectual property laws.

b. License

• SwiftXchange grants you a limited, non-exclusive, non-transferable license to access and use the Platform for personal or business purposes. You may not reproduce, modify, or distribute any content without prior written consent from SwiftXchange.

9. User Content

a. Submission

• You may submit content to the Platform, such as reviews, comments, or feedback. By submitting content, you grant SwiftXchange a worldwide, royalty-free license to use, reproduce, and distribute such content.

Upon termination, you will no longer have access to your account or any data associated with it. SwiftXchange may retain your information as required by law.

• The Platform is provided “as is” and “as available,” without any warranties of any kind. SwiftXchange does not guarantee the accuracy, reliability, or availability of the Platform.

• To the fullest extent permitted by law, SwiftXchange shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

14. Indemnification

You agree to indemnify and hold SwiftXchange harmless from any claims, losses, or damages arising from your use of the Platform or your violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Nigeria. Any disputes arising from these Terms shall be resolved through arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.
